母公司作为招标人，子公司可以参加投标的理论依据是什么？根据招投标法实施条例第三十四条：“与招标人存在利害关系可能影响招标公正性的法人、其他组织或者个人，不得参加投标。”，怎么理解利害关系？

  过去依据七部委30号令《工程建设项目施工招标投标办法》第三十五条之规定：“招标人的任何不具独立法人资格的附属机构（单位），••••都无资格参加招标项目的投标。”这里指的“子公司不具有独立法人资格”时不能参加母公司的招标项目投标。如果属于具有具有独立的法人资格，是可以投标的。但是由于存在利害关系，招标人很难公平对待所有的投标人，因此影响其他投标人投这个标！因此我认为《招标投标法实施条例》第三十四条之规定是完全正确的！应遵守。
如何理解“利害关系”，我认为是指招标人与投标人的法人代表之间有亲属关系和社会关系，以及企业之间有经济关系、工作关系等影响授标公正性的因素。
  以上是个人意见，仅供参考。
